1. Introduction and Acceptance

These Terms and Conditions ("Terms") govern your access to and use of Tyren in India, including the website, web application, application programming interfaces (APIs), kiosk tools, dealer locator, warranty-related flows, AI assistants, and related services (collectively, the "Service").

The Service is operated by Renaissa AI Labs Pvt Ltd, a company incorporated in India ("Tyren", "we", "our", or "us"). By accessing, registering for, logging in, subscribing to, or using the Service, you agree to these Terms and our Privacy Policy, which describes how we process personal data under the Digital Personal Data Protection Act, 2023 (India) ("DPDP Act").

If you do not agree to these Terms, do not use the Service. Continued use after we publish updated Terms may constitute acceptance of the updated version where permitted under applicable law in India, except where the application requires separate re-acceptance.

2. Definitions

"Account" means a registered user profile used to access the Service.

"Tenant" means your business workspace in Tyren, which may include one or more outlets, staff users, and operational data.

"User Content" means information, files, records, messages, and other materials submitted to the Service by you or your authorised users, including CRM customer data, inventory records, invoices, warranty claims, and AI knowledge documents.

"AI Output" means suggestions, drafts, summaries, recommendations, scores, diagnostics, and other responses generated by AI features in the Service.

"Subscription" means the paid or free plan assigned to your tenant, including included usage limits, credits, and entitlements.

"Credits" means metered usage allowances (such as AI or communication credits) allocated under your Subscription plan.

"Data Fiduciary" and "Data Processor" have the meanings given under the DPDP Act. For personal data of your end-customers processed in Tyren, you are typically the Data Fiduciary and we act as Data Processor.

3. Eligibility

You must be at least 18 years old, legally capable of entering binding contracts under Indian law, and use the Service primarily for business operations in India.

If you use the Service on behalf of an organisation (such as a tyre retail shop, auto-care centre, distributor, or franchise), you represent that you have authority to bind that organisation to these Terms.

You may use the Service only for lawful business purposes and in compliance with applicable laws in India, including tax laws (including GST), consumer protection laws, telecommunications rules (including TRAI requirements for commercial communications where applicable), and the DPDP Act.

4. Account Registration and Security

You must provide accurate and current registration information (including business name, owner details, contact information, and GSTIN or other tax identifiers where requested) and keep it updated.

You are responsible for safeguarding credentials, session access, and all actions performed through your Account, including actions by staff you authorise.

You must promptly notify us of unauthorised access or suspected security incidents.

Tenant owners and administrators are responsible for creating, disabling, and supervising internal user accounts, role assignments, outlet access, and page permissions.

Where multi-factor authentication is enabled or required, you must complete setup to maintain secure access.

5. User Roles and Permissions

Tyren supports role-based and page-level access controls. Typical roles include owner, admin, accountant, regional manager, manager, and staff, with outlet-scoped access where configured.

You are solely responsible for assigning permissions appropriately, reviewing access regularly, and ensuring staff only access data necessary for their role.

Tyren is not liable for internal misuse, data exposure, or unauthorised business actions caused by permissions granted by your organisation.

Platform super-admin access exists for platform operations and support; it is not a tenant business role.

6. Acceptable Use Policy

You must not use the Service for activity that is illegal under applicable law in India, including fraud, harassment, infringement, phishing, spam, or harmful conduct.

You must not scrape data, reverse engineer the Service, circumvent subscription entitlements or credit limits, abuse APIs, perform unauthorised security testing, or interfere with platform integrity.

You must not upload malware, unlawful content, or third-party personal data without proper authorisation and a lawful basis under the DPDP Act.

You must not use AI features for prompt injection attacks, attempts to bypass safety controls, generation of harmful or unlawful content, or binding automated decisions without required human oversight.

You must not overload systems, attempt unauthorised access to other tenants' data, or resell access to the Service except as expressly permitted.

7. User Content and Uploaded Data

You retain ownership of User Content submitted to the Service.

You grant Tyren a limited, non-exclusive licence to host, process, transmit, store, display, and transform User Content as necessary to provide, secure, and operate the Service in India (including AI processing, backups, and support).

You represent and warrant that you have rights and a lawful basis under the DPDP Act and other applicable Indian law to submit and process User Content, including personal data of customers, employees, and warranty claimants.

You must not upload personal data without authority or in breach of the DPDP Act or other applicable law.

We may remove or restrict content that is unlawful, infringing, insecure, or violates these Terms.

8. AI Features and Output Disclaimer

AI Output may be inaccurate, incomplete, biased, outdated, or unsuitable for your specific situation. It is provided for decision support only, not guaranteed correctness.

You must independently verify AI Output before operational, financial, safety, warranty, staffing, inventory, pricing, or customer-facing use.

Tyren does not provide legal, tax, accounting, medical, or other regulated professional advice through AI features. Consult qualified professionals in India for such matters.

Tyren is not liable for decisions made solely based on AI Output without appropriate human review.

You are responsible for the data, prompts, files, and instructions you provide to AI features, including avoiding unnecessary sensitive personal data in prompts or uploads.

AI prompts and context may be processed via third-party model providers configured for the Service (such as AWS Bedrock, OpenAI, or Google Gemini), as described in our Privacy Policy.

9. Industry-Specific Operational Disclaimer

Tyren supports tyre and auto-care operations in India, including inventory management, POS, service workflows, invoices, GST-related features, warranties, CRM, appointments, kiosk mode, and reporting.

You remain solely responsible for: compliance with Indian law governing your business; GST filings and invoice correctness; warranty terms and claim decisions; customer communications; DLT-registered SMS compliance where applicable; and WhatsApp Business policy compliance.

Tyren does not guarantee commercial outcomes such as revenue growth, stock optimisation, claim approvals, diagnostic accuracy, or customer conversion rates.

10. Subscriptions, Payments, Credits, and Billing

Paid features depend on your active Subscription plan, billing cycle (monthly or annual where offered), and applicable usage limits and Credits.

Free trials may be offered for eligible plans. When a trial ends, paid features may be restricted unless you subscribe.

Payments are processed by third-party providers configured for the Service, primarily Razorpay for users in India. Stripe or simulated checkout may be used where configured for your plan or environment. You authorise recurring or one-time charges according to your selected plan. The payment provider's terms also apply.

Prices and taxes: amounts may be shown in Indian Rupees (INR) or other currency as displayed at checkout. You are responsible for applicable taxes, including GST where applicable.

Credits and entitlements are enforced by plan. Usage of AI, communications, or other metered features may deduct Credits or count against limits. Upgrades, downgrades, and renewals may change available Credits.

Failed payments may result in suspension of paid features after reasonable notice.

You may cancel according to in-app billing controls or by contacting support. Cancellation typically takes effect at the end of the current billing period unless otherwise stated.

11. Third-Party Services and Integrations

The Service uses third-party services to operate, including: cloud hosting (Amazon Web Services); payment gateways (Razorpay, Stripe where configured); AI providers; email and messaging (SMTP, Amazon SES, SendGrid, Mailgun, WhatsApp Business, SMS where enabled); voice telephony (Twilio, ElevenLabs where configured); analytics (PostHog and optional others); maps and geolocation (such as Geoapify); Google sign-in and Google Business Profile; and GST validation services.

Your use of third-party services may be subject to their separate terms. You are responsible for valid accounts, credentials, and permissions with those providers.

Tyren is not responsible for downtime, policy changes, or acts or omissions of third-party providers outside our reasonable control.

12. Service Availability and Changes

The Service is provided on an "as available" basis and may include planned or emergency maintenance, upgrades, or interruptions.

We may modify, deprecate, or discontinue features — including beta, experimental, or AI capabilities — at any time with or without notice where reasonable under applicable law.

We do not guarantee uninterrupted availability, specific response times, or error-free operation unless separately agreed in a written enterprise agreement.

13. Intellectual Property

Tyren and its licensors own all rights in the platform software, interfaces, templates, workflows, AI agent configurations, documentation, trademarks, and branding.

Except for limited rights expressly granted by these Terms, you may not copy, resell, sublicense, reverse engineer, or create derivative works from the Service.

If you provide product feedback or suggestions, you grant Renaissa AI Labs Pvt Ltd a perpetual, irrevocable, royalty-free licence to use them for product improvement without obligation to you.

14. Confidentiality

Each party may receive confidential information in connection with use of the Service.

You must protect confidential information of your business, staff, customers, and third parties, including by limiting internal access through roles and permissions.

Tyren applies reasonable technical and organisational safeguards but you remain responsible for access control and staff training within your tenant.

15. Personal Data and the DPDP Act

Our Privacy Policy (incorporated by reference) explains how Renaissa AI Labs Pvt Ltd processes personal data as Data Fiduciary for your account data, and as Data Processor for personal data you upload about your customers and operations.

Policy acceptance records and versioning may be required before continued use of protected functionality. We retain acceptance metadata for compliance and audit purposes.

As a business user, you are responsible for: providing notice to Data Principals; obtaining consent or relying on another valid ground under the DPDP Act where required; honouring Data Principal rights requests; implementing your grievance mechanism; and complying with breach notification obligations that apply to you.

You must not use Tyren to process personal data in violation of the DPDP Act or other applicable law in India.

16. Suspension and Termination

You may stop using the Service and request account closure according to available account controls and support channels.

We may suspend or terminate access for violations of these Terms, suspected abuse, non-payment, legal requirements, or security risk, with or without notice where permitted by applicable law in India.

After termination, access to the Service ends. Data export may be available before closure where the product supports it. Retention and deletion are handled under the Privacy Policy and applicable Indian law.

17. Limitation of Liability

To the maximum extent permitted under applicable law in India, Tyren is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, data loss, business interruption, or reliance on AI Output.

Subject to non-excludable rights under the Consumer Protection Act, 2019 or other applicable Indian law, Tyren's aggregate liability for all claims arising from or relating to the Service is limited to the total fees paid by you to Tyren for the Service in the twelve (12) months preceding the event giving rise to the claim, or INR 10,000 if no fees were paid, whichever is greater — pending final confirmation by legal counsel.

Nothing in these Terms excludes liability that cannot be excluded under applicable law in India.

18. Indemnification

You agree to indemnify, defend, and hold harmless Renaissa AI Labs Pvt Ltd, Tyren, and their directors, officers, and employees from claims, losses, liabilities, damages, and costs (including reasonable legal fees) arising from: your misuse of the Service; unlawful User Content; violation of these Terms; processing of personal data without lawful basis under the DPDP Act; or your violation of applicable law in India.

19. Governing Law and Jurisdiction

These Terms are governed by the laws of India.

Subject to non-excludable rights under applicable law in India (including consumer protection laws where applicable to you), the courts and tribunals in Pune, Maharashtra, India shall have exclusive jurisdiction over disputes arising from or relating to these Terms or the Service.

We may offer alternative dispute resolution for enterprise customers under a separate written agreement.

20. Changes to Terms

We may update these Terms from time to time. We will publish the updated version, effective date, and last updated date.

Material changes may require re-acceptance in the application before you continue using protected areas of the Service.

Historical acceptance records are retained for compliance and audit purposes.
